Mergers & Acquisitions

An M&A transaction can be the key milestone for any business. You will only get one shot at it so it is key that you and your advisers get it right. We are highly experienced in advising on all aspects of M&A transactions. We will invest the time to understand your businesses and the particular product or service relevant to the contract. We also place a great deal of emphasis on getting the balance right between making sure the contract protects you but that it reflects the commercial interests of the parties. In short, we won’t include pages of boilerplate in an agreement if the commercial arrangement requires something short and snappy.

Family-owned Businesses

We specialise in advising family-owned businesses of all shapes and sizes across a wide range of sectors, in particular in relation to succession planning and shareholders’ agreements. We recognise the subtle dynamics that can play a major role in a family-owned business and put the family at the heart of our advice as well as the business.

We appreciate that it is not always appropriate to have legally binding agreements in place between family members and that in certain circumstances a non-binding set of rules (a family charter) is more appropriate. We can assist with the design and drafting of family charters as well as advising on more traditional corporate governance documents.
