Corporate and Commercial

Mergers & Acquisitions

An M&A transaction can be the key milestone for any business. You will only get one shot at it so it is key that you and your advisers get it right. We are highly experienced in advising on all aspects of M&A transactions. Our experience includes advising on private company and business acquisitions and disposals, mergers, private equity investments, management buy-outs, group restructuring and reorganisations.

We also have a team of highly experienced specialist transaction support lawyers who seamlessly provide advice on the related specialist areas including Banking, Commercial Property, Competition Law, Employment, Environmental Law, Tax and Intellectual Property.

We know that your key motivation is to get the deal completed. We won’t use your transaction to score points off other lawyers or accountants. We will be as collaborative and as commercial as possible whilst looking after your interests.

We routinely advise on a wide variety of corporate aspects. Our clients range from start-ups, to multi-national public companies. Regardless of the size of the business, we will provide cost effective and clear advice on the following:

  • Company formations and company secretarial
  • Shareholders’ agreements
  • LLP and partnership agreements
  • Joint ventures
  • Company reorganisations and restructures
  • Share buy-backs
  • Demerges
  • Corporate governance
  • Share schemes

We advise both lenders and borrowers in respect of all aspects of finance and security. Our lender clients include major UK banks, established asset backed investors and crowd funders.

We are specialists in commercial agreements and regularly advise on complex and bespoke commercial agreements across a broad range of sectors. We are also experts in agency arrangements, consumer law, competition law, data protection, intellectual property, information technology law and e-commerce.

We will invest the time to understand your businesses and the particular product or service relevant to the contract. We also place a great deal of emphasis on getting the balance right between making sure the contract protects you but that it reflects the commercial interests of the parties. In short, we won’t include pages of boilerplate in an agreement if the commercial arrangement requires something short and snappy.

Examples of the types of commercial agreements we advise on include:

  • supply agreements
  • service agreements
  • development agreements
  • distribution agreements
  • framework agreements
  • licensing agreements
  • manufacturing agreements
  • media production and publishing agreements
  • non-disclosure agreements
  • outsourcing agreements
  • procurement agreements
  • sponsorship agreements
  • terms and conditions of business

Family-owned Businesses

We specialise in advising family-owned businesses of all shapes and sizes across a wide range of sectors, in particular in relation to succession planning and shareholders’ agreements. We recognise the subtle dynamics that can play a major role in a family-owned business and put the family at the heart of our advice as well as the business.

We appreciate that it is not always appropriate to have legally binding agreements in place between family members and that in certain circumstances a non-binding set of rules (a family charter) is more appropriate. We can assist with the design and drafting of family charters as well as advising on more traditional corporate governance documents.
